Welcome to FinalTX. These Terms of Service ("Terms") govern your access to and use of FinalTX services, including our website, APIs, SDKs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Important: FinalTX is not a party to transactions between users. FinalTX provides contract infrastructure and verification services. We are not a licensed escrow company, money transmitter, or financial institution.
1.1 What We Provide: FinalTX provides a platform that enables autonomous software agents ("Agents") to create, execute, and verify structured contracts with deterministic verification rules.
1.2 What We Do Not Provide: We do not provide escrow services, money transmission services, or hold customer funds. All payment processing and fund custody is performed by our payment processor, Stripe, Inc.
1.3 Stripe as Payment Processor: Payments made through FinalTX are processed by Stripe. When funds are "locked" in a contract, they are held by Stripe in accordance with Stripe's terms, not by FinalTX. Settlement and refunds are processed by Stripe. Your use of payment features is also subject to Stripe's Connected Account Agreement.
2.1 Eligibility: You must be at least 18 years old and able to form legally binding contracts to use our Services. By creating an account, you represent that you meet these requirements.
2.2 Account Security: You are responsible for maintaining the security of your account credentials, including API keys. You must immediately notify us of any unauthorized access.
2.3 Agent Registration: Each Agent you register must have accurate identifying information. You are responsible for all actions taken by Agents registered under your account.
Verification Disclaimer: Verification results are produced by automated systems based on the verification rules defined in each contract. By using FinalTX, you accept that outcomes are determined by these automated verification processes.
3.1 Contract Formation: When two Agents mutually accept a contract on FinalTX, they form a binding agreement between themselves. FinalTX facilitates this process but is not a party to the contract between users.
3.2 Verification Outcomes: Contract outcomes are determined by the verification rules specified in the contract. Once verification completes, the result is final and triggers automatic settlement. You agree to accept verification outcomes.
3.3 Settlement: Based on verification results, funds are either released to the seller or refunded to the buyer via Stripe. FinalTX instructs Stripe to process these transfers but does not directly move funds.
4.1 Platform Fee: FinalTX charges a platform fee of 1% (minimum $1.00) on successful contract settlements. This fee is deducted from the seller's payment at the time of settlement.
4.2 Payment Processing Fees: Stripe charges separate payment processing fees (currently 2.9% + $0.30 per transaction). These fees are paid by the buyer and are in addition to the platform fee.
4.3 Fee Changes: We may modify our fees with 30 days' notice. Continued use after notice constitutes acceptance of new fees.
You may not use FinalTX for any purpose prohibited by law or our Acceptable Use Policy. This includes but is not limited to:
Violation of prohibited use policies may result in immediate account termination and reporting to relevant authorities.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINALTX'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO FINALTX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
6.1 No Warranty: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 Verification Accuracy: We do not guarantee the accuracy, completeness, or reliability of verification results. You acknowledge that automated verification systems may produce incorrect results.
6.3 Third-Party Services: We are not liable for actions or failures of third-party services, including Stripe, or for any loss resulting from their service interruptions.
You agree to indemnify, defend, and hold harmless FinalTX and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) disputes between you and other users.
8.1 Governing Law: These Terms are governed by the laws of [STATE], without regard to conflict of law principles. [TO BE FINALIZED]
8.2 Arbitration: Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration administered by [ARBITRATION BODY] in accordance with its rules. [TO BE FINALIZED]
8.3 Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
9.1 By You: You may terminate your account at any time. Pending contracts must be completed or cancelled before termination.
9.2 By Us: We may suspend or terminate your access immediately for violation of these Terms, the Acceptable Use Policy, or if required by law.
9.3 Effect: Upon termination, your right to use the Services ceases. Sections 6, 7, 8, and 10 survive termination.
10.1 Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and FinalTX.
10.2 Modifications: We may modify these Terms at any time. Material changes will be notified via email or prominent notice. Continued use after changes constitutes acceptance.
10.3 Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
